The Adobe User Group – Philippines (AUGPhil) is the first Adobe-sanctioned user group in the Philippines. It is community for students, enthusiasts and professionals who use Adobe software. We meet monthly in venues in Metro Manila.

CONSTITUTION OF THE ADOBE USER GROUP – PHILIPPINES

Article I – Name
The name of this organization shall be Adobe User Group – Philippines, hereinafter referred to as AUGPhil.
Article II – Purpose
AUGPhil is formed as an educational organization for the sole purpose of educating the public in the Philippines about graphic and web design, web development, software development, usability and accessibility, graphical user interface development and software systems in general; and particularly the software applications from Adobe. Additionally, the group shall provide a forum wherein members can exchange information, deliver technical presentations and provide a knowledge base where one can go to receive help with problems.
Article III – Membership
A. Qualifications of Members
1. A Member shall be an individual in good standing as required by the articles of this Constitution and the applicable Bylaws. Membership shall be available to all individuals interested in promoting the objectives of AUGPhil. Although AUGPhil will be founded to serve and draw its membership from the Philippines, visitors shall be welcome and encouraged to participate in all meetings and group activities.
2. Voting privileges shall be granted only members of good standing. Members of good standing meet requirements of meeting attendance, participation in activities and other requirements determined by the Board of Directors.
3. The responsibilities of all members shall include:
a. Attendance to user group meetings regularly
b. Participation in events and activities initiated by the Board of Directors
4. Subject to the conditions specified in the bylaws, nonmembers may participate in designated AUGPhil activities and avail themselves of selected services provided by AUGPhil.
B. Members may be assessed and be recommended for suspension of membership if requirements set by the Board of Directors have not been met. The Board of Directors may also levy dues for support for activities, user group meeting and initiated events.
C. Membership may be terminated by writing a formal letter to the User Group Manager stating the intention of termination of membership.
Article IV – Officers and Committees
A. Criteria
1. All officers must be Filipino citizens of legal age.
B. Election and Removal
1. The Board of Directors, or the governing body of AUGPhil, shall be elected by a simple majority vote of the members present at the first meeting of the September of the year. 20 members must be present to constitute a quorum.
2. Removal from office of any officer may be initiated via a vote initiated by the members in good standing. Removal is made official by getting a 2/3 majority vote and recommendation of the User Group Manager.
3. Vacancy of any position may be filled by appointment of the User Group Manager.
C. Duties and Responsibilities
1. The User Group Manager shall preside at all meetings of the group, represent the group to others, and shall convene the executive committee at least.
2. The Assistant User Group Manager shall assume the duties of the User Group Manager in his/her absence.
3. The Technical Director shall initiate activities for the enhancement of the expertise of the user group.
4. The Membership Director shall initiate activities for recruitment, assessment of members and internal concerns.
5. The Finance Director shall assist the User Group Manager for financial concerns
6. The User Group Manager may appoint others to special committees as needs arise.
7. One individual may occupy more than one position, subject only to the will of the membership and the regulations of the AUGPhil.
Article V – Meetings
1. General Membership meetings for the purpose of conducting Group business shall be held annually. Technical meetings will be held on a monthly schedule. Time and place will be determined by the Board of Directors.
2. Notification of meetings shall be posted on the Group’s World Wide Web (web) site and posted to the AUGPhil mailing list not less than three (3) days prior to the meeting date.
4. Each declared member shall be entitled to one vote in all proceedings. Proxies, for the purpose of voting, may be given by a member to any other member in writing, by voice, e-mail or by any means mutually agreeable to the members concerned and verifiable by the User Group Manager.
Article VIII – Amendment Process
This constitution may be amended by a 2/3 vote of the total membership. Amendments may be introduced only during official user group meetings or special meetings.
Article IX – Disbursal of Assets
A. Should the club disband, the Board of Directors shall disburse the assets to a charity determined by the Board of Directors.
